Due Diligence Is Transaction-Specific

Mineral transactions can involve multiple parties, jurisdictions and documentation requirements. The checks required depend on the mineral, its source, the parties involved and the countries through which it may be transported or sold.

Africa Gold Supplier encourages appropriate verification before a proposed transaction proceeds.

1. Counterparty Identity

Establish the identity and relevant business details of the parties involved, using appropriate and reliable documentation.

2. Product Identity and Specifications

Determine the precise product form and relevant characteristics. Depending on the mineral, independent sampling, laboratory analysis, assay reports or other technical evidence may be appropriate.

3. Source and Ownership

Assess the available evidence concerning where the material originated, who owns it and whether the proposed seller has the legal authority to sell it.

4. Licences and Export Documentation

Identify the permits, authorisations, declarations and other documents required for the specific mineral and transaction. Requirements must be confirmed with relevant authorities and qualified advisers.

5. Responsible Sourcing

Consider applicable requirements and risks relating to supply-chain transparency, human rights, environmental obligations, conflict-affected areas and responsible mineral sourcing.

6. Payment and Delivery Arrangements

Agree on payment conditions, delivery responsibilities, insurance, inspection procedures and risk allocation before committing to a transaction.

Documentation Must Be Verified

The existence of a document does not, by itself, establish that its contents are accurate, current or sufficient. Documents should be checked with the relevant issuer or qualified independent parties where appropriate.
